By accessing the Site, you represent that you are at least 18 years of age and have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, users, and others who access or use the Site.
We reserve the right to update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

- Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal informational purposes. This license does not include the right to resell or commercially exploit any Site content.
- Third-Party IP: References to partners, vendors, or third-party products are the intellectual property of their respective owners.
7. User Conduct
You agree not to use the Site to:
- Violate any applicable national or international law or regulation.
- Impersonate Alpha Compute, an Alpha Compute employee, or any other person or entity.
- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm Alpha Compute or other users.
- Use any robot, spider, scraper, or other automated device to monitor, copy, or extract any material on the Site without our prior written consent, except for legitimate search engine indexing permitted by our robots.txt.
- Introduce viruses, trojans, worms, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to any part of the Site, its servers, or any connected database or system.
- Transmit unsolicited commercial communications (spam) or harvest contact information from the Site.
8. Technology and Infrastructure Disclaimers
Alpha Compute operates within the high-performance compute, confidential computing, and artificial intelligence sectors. By using this Site, you acknowledge:
- Regulatory Uncertainty: The regulatory regime governing artificial intelligence, data processing, cross-border data transfers, and compute infrastructure is rapidly evolving. New laws or policies may materially adversely affect our business, products, and services.
- Technology Risk: We are not responsible for technical failures, bugs, or vulnerabilities inherent in third-party hardware, firmware, protocols, AI models, or services that we or our customers utilize.
- Export Controls: Certain technologies described on this Site may be subject to U.S. export control laws and regulations. Nothing on this Site constitutes an offer to export or re-export controlled technology or services in violation of applicable laws.
9. Cybersecurity
Alpha Compute takes cybersecurity seriously as both an operational matter and a disclosure obligation under SEC cybersecurity rules (Item 106 of Regulation S-K, effective 2024). Our approach to material cybersecurity risks is disclosed in our Annual Report on Form 10-K filed with the SEC.
We implement industry-standard controls to protect the Site and user data. However, no system is completely secure. If you discover a security vulnerability on this Site, please report it responsibly to ir@alphacompute.ai and allow us reasonable time to investigate before public disclosure. Our Site may contain links to third-party websites or services (e.g., SEC EDGAR, Nasdaq, or partner sites) that are not owned or controlled by Alpha Compute. Alpha Compute maintains official accounts on X (Twitter), Instagram, LinkedIn, and YouTube. Interactions on those platforms are subject to each platform’s own terms of service and privacy policy, not these Terms or our Privacy Policy.
Content posted on our social media accounts may include forward-looking statements within the meaning of the PSLRA. The disclaimers in Section 3 of these Terms apply to all such content.
12. Disclaimer of Warranties
Your use of the Site is at your sole risk. The Site is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or course of performance.
Alpha Compute does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected.
13. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Alpha Compute Corp., its affiliates, directors, officers, employees, agents, licensors, or service providers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for:
- Loss of profits, revenue, or data.
- Loss of goodwill or business opportunity.
- Investment decisions made in reliance on information on the Site.
- Unauthorized access to or alteration of your data or transmissions.
- Any other matter relating to the use of, or inability to use, the Site.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if Alpha Compute has been advised of the possibility of such damages.
14. Indemnification
You agree to defend, indemnify, and hold harmless Alpha Compute Corp., its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your violation of any third-party rights.
15. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. The seat of arbitration shall be Dover, Delaware. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between Alpha Compute and you individually. To the fullest extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction in Delaware to prevent irreparable harm pending the outcome of arbitration.
16. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will update the “Last Updated” date above. Material changes will be communicated via a prominent notice on the Site. By continuing to access or use the Site after revisions become effective, you agree to be bound by the revised Terms.
